Bylaw Four

ARTICLE IV – Board of Trustees

Section 1 – Until December 31, 2002, the organizational and regular business affairs of the APHS shall be managed by an Organization Board of Trustees (hereinafter referred to as "the Organizational Board" or “the Board”).

Section 2 – The Organizational Board shall be composed of seven (7) members, including among them those of the APHS’s incorporators who choose to serve on the Organizational Board and others selected by those serving incorporators who have the interest, experience and skills required to assist the incorporators in getting the APHS organized and operating.

Section 3 – All members of the Organizational Board shall be active members in good standing of the APHS.

Section 4 - In the event of a vacancy on the Organizational Board prior to the organization’s Annual Meeting, the remaining organizational trustees shall nominate candidates to fill the vacancy and the vacancy shall be filled by a majority vote of the remaining organizational trustees. The person elected shall serve on the organizational Board until the next Annual Meeting.

Section 5 – The Board of Trustees (hereinafter also referred to as “the Board”) shall be elected by the general membership at a meeting of the APHS to be each year on the first Thursday each May.

Section 6 - The Board shall be responsible for the ongoing business and affairs of the APHS.

Section 7 - The Board shall consist of eleven (11) members, who shall be elected to serve terms of three (3) years.  Upon installation, the Board taking office on December 31, 2002, shall establish a means by which it will select three (3) of its members to serve for one (1) year, four (4) members to serve for two (2) years, and the remaining four (4) to serve for three (3) years.  This provision is intended to aid in ensuring the stability of the Board of Trustees through the ongoing rotational replacement of a minimum number of its members.

Section 8 - Any candidate for the Board must be an active member of the APHS prior to his/her election to the Board.

Section 9 - In the event of a vacancy on the Board prior to the completion of a term, the nominating committee shall present its nominations at any regular or special meeting of the Board.  Subject to additional nominations from the floor, the vacancy shall be filled by a majority vote of the trustees present at said meeting. The person elected shall fill the remainder of the unexpired term.

Section 10 - Any member of the Board who shall be absent for three consecutive meetings a year without presenting satisfactory excuse, as determined by the Board, or who has failed to maintain membership in the APHS may be removed from the Board by a majority vote of the Board members. Such action shall not be taken until said Board member has been notified in writing and provided an opportunity to respond.
